1. This agreement
In short: These terms are a contract between your church and us. If you accept them for your church, you’re saying you’re allowed to.
These Terms of Service (the “Terms”) are an agreement between Displayte, a sole proprietorship (“Displayte,” “we,” “us”) and the church or other organization that uses Displayte (the “Customer,” “your church,” “you”). They cover the website at displayte.com, the web app at app.displayte.com, the Displayte app for Apple TV, and everything we provide with them (together, the “Service”).
If you create an account for an organization, or accept these Terms on its behalf, you confirm that you have the authority to bind it to them. If you don’t have that authority, or don’t agree to these Terms, don’t use the Service.
These Terms include, by reference, our Acceptable Use Policy, our Privacy Policy and our Data Processing Addendum. Where they conflict, these Terms win, except that the Data Processing Addendum wins on how we process personal data in your content.
2. Accounts and people
In short: Everyone signs in as themselves. Your church decides who’s in and what they can do, and is responsible for them.
Each Displayte account belongs to one organization, which we call a church. A church that meets in more than one place may use one account for each campus. The person who creates the account is its first owner. Owners and admins invite others and choose each person’s role (owner, admin, editor, operator or viewer). Each role can do only what the Service says it can, and your church is responsible for the roles it gives.
Every person signs in with their own login. Don’t share logins. Keep yours secure, and tell us at once at support@displayte.com if you think someone else has used it. Your church is responsible for everything done through the accounts of the people it invites.
You must be at least 13 years old to have a Displayte login. If you’re under 18, the church that invites you must have your parent’s or guardian’s permission for you to use the Service. The Service isn’t meant for children under 13, and we don’t knowingly let them sign up.
3. The service
In short: Displayte puts your church’s pictures and videos on your Apple TVs. We’ll keep improving it, and tell you before anything you rely on goes away.
The Service lets your church store pictures and videos, arrange them into presentations, and choose what each of its Apple TVs shows. The Apple TV app shows what your church chooses; it doesn’t create, edit or upload anything.
We change the Service over time: we add features, improve existing ones and sometimes retire them. If we remove something your church relies on, or make a change that materially reduces what the Service does, we’ll tell your account’s owners at least 30 days before, unless we must act sooner for security or legal reasons.
Early access. While Displayte is in early access, some features are unfinished and may change quickly. We don’t charge a church during early access unless we’ve agreed a price with it first.
4. Your church’s content
In short: What you upload stays yours. You give us only the permission we need to store it and show it on your screens, and you’re responsible for having the rights to it.
You own it
“Your Content” means everything your church’s people put into the Service: pictures, videos, slides, presentations, names and settings. Your church keeps every right it has in Your Content. We don’t claim ownership of it.
What you let us do with it
Your church gives us a worldwide, non-exclusive, royalty-free license to host, copy, process (for example, to convert and compress it for TVs), transmit and display Your Content, only to provide the Service to your church, to keep it secure, and as the law requires. This license ends when Your Content is deleted from the Service, except for copies in backups, which expire on the schedule in our Privacy Policy.
We don’t sell Your Content, use it for advertising, or use it to train artificial-intelligence models. Our staff look at Your Content only when you ask us to (for support), when it’s needed to keep the Service secure or working, or when the law requires it.
Your responsibility for it
Your church is responsible for Your Content and confirms that:
- it has every right, license and permission needed to upload Your Content and show it on its screens, including for music, video, artwork, fonts and anything made by someone else;
- where Your Content shows or names people, it has any consent the law requires, and a parent’s or guardian’s consent for any child who can be identified; and
- Your Content and its use follow these Terms, the Acceptable Use Policy and the law.
We may remove or disable Your Content, or stop a screen from showing it, if we reasonably believe it breaks these Terms or the law, or on a valid notice under our Copyright Policy. Where we can, we’ll tell your church first and say why.
5. Using Displayte properly
In short: Use Displayte for your church’s screens, lawfully, and don’t attack or abuse it.
Your church and its people must follow the Acceptable Use Policy. In particular, don’t try to get into another church’s account or data, test or break our security without our written permission (our Security page says how to report a problem), resell the Service, or use it in a way that harms it, us or others.
6. Plans, billing and renewals
In short: One plan: $12 a screen a month, or $10 a screen a month billed yearly. It renews until you cancel, which you can do online at any time.
The plan and the price
Displayte has one plan. It costs $12 per screen per month billed monthly, or $120 per screen per year ($10 a month) billed yearly, in US dollars. A “screen” is one Apple TV paired to your church’s account. Your plan covers the number of screens you choose in Settings → Billing, and you can change that number at any time. Removing a TV frees its screen for another one; to pay for fewer screens, lower the number in Settings → Billing. Every plan includes unlimited people and 100 GB of storage for each screen, shared across your church. Prices include any sales tax, VAT or similar tax, so the price is what your church pays.
Paying
You pay by card. Link, from Stripe, sells the plan to your church for us as the merchant of record: it takes the payment, handles any sales tax, and sends your receipts and invoices. Your card statement shows LINK.COM* DISPLAYTE. We never see or store your full card number. When you change the number of screens, Stripe’s billing page shows what you’ll pay before you confirm.
Renewal
Your plan renews automatically at the end of each billing period, monthly or yearly, and we charge the card on file the price in effect at that time, until you cancel. Before a yearly plan renews, we email your account’s billing contact to remind you of the date and the amount. You can cancel at any time, online, in Settings → Billing, without needing to contact us.
Cancelling
When you cancel, your plan stays active until the end of the period you’ve paid for, and then ends.
Price changes
We may change our prices. We’ll email your account’s owners at least 30 days before a new price applies to your church, and it applies from your next billing period after that. If you don’t want to pay the new price, you can cancel before it applies.
Storage
If your church uses all its storage, new uploads pause until you make room or add a screen. We never delete your files, and never charge for extra storage, without asking you first.
Late payment
If a payment fails, we’ll tell you and try again over the following days. If an invoice is still unpaid 30 days after it was due, we may suspend your church’s account until it’s paid. We’ll email your account’s owners at least 7 days before we do.
7. Ending the agreement
In short: You can leave whenever you like. If we ever end things, we give notice. If your church’s plan ends, we keep its files for 30 days, then delete them for good. Your account, team and presentations stay until you ask us to delete them.
Your church can stop using the Service and cancel its plan at any time. An owner can also delete the church: for 7 days it can be brought back, and after that the church and Your Content are deleted, except counts that identify no one and our payment records, which Stripe keeps for our books.
We may suspend or end your church’s access to the Service if it seriously or repeatedly breaks these Terms, if it doesn’t pay as described in section 6, or if the law requires us to. Unless the breach is serious, or notice would be unlawful or put others at risk, we’ll tell you first and give you a reasonable chance to fix it. We may also stop offering the Service entirely; if we do, we’ll give at least 90 days’ notice.
If your church’s plan ends, we keep its files for 30 days, so you can come back or ask us for a copy of them (the versions we keep for your screens); then we delete them, and every copy, for good. Your account and records (the church, its team, its TVs and its presentations) stay until you ask us to delete them, so you can start again. If an owner asks us to delete the files or the whole account sooner, we do. Deleted content disappears from our backups on the schedule in our Privacy Policy.
Sections 4 (the part about your responsibility), 10, 12, 13, 14, 15 and 17 continue after the agreement ends.
8. Privacy
In short: Our Privacy Policy explains our own use of personal data. For the personal data in your church’s content, we act on your church’s instructions.
Our Privacy Policy describes how we handle personal data about the people who use the Service and visit our website. For personal data in Your Content, we process it on your church’s behalf and according to its instructions, as our Data Processing Addendum sets out; it forms part of these Terms.
9. Other companies’ services
In short: Apple TV, your payment card and anything you connect to Displayte have their own terms.
The Service works with products and services we don’t control, including Apple TV and tvOS, and Stripe for payments. Your church’s use of them is governed by their own terms, and we aren’t responsible for them. If we offer a connection to another service (for example, to import designs), using it is optional, and that service’s terms apply to it as well as these.
The Service includes Google Maps features and content: when you set up your church, the addresses we suggest as you type come from Google Maps. Your use of Google Maps features and content is subject to the then-current Google Maps End User Additional Terms of Service and the Google Privacy Policy.
10. What’s ours
In short: The software and the Displayte name are ours. If you send us ideas, we can use them.
The Service, including its software, design and the Displayte name and logo, belongs to us and our licensors. These Terms give your church the right to use the Service while the agreement lasts; they don’t give it any other rights in the Service. Don’t copy, modify, reverse-engineer or create works based on the Service, except as the law allows despite this.
If you send us suggestions or feedback, we may use them without any obligation to you.
11. Availability and support
In short: We build Displayte so screens keep playing through outages, and a person answers support email. There’s no formal uptime guarantee.
We work to keep the Service available and to fix problems quickly, and we design the Apple TV app to keep showing your church’s content when the internet or our servers are unavailable. We may sometimes need to interrupt the Service for maintenance; where we can, we schedule it outside Sunday services and give notice. We don’t promise any particular level of availability.
Support is by email at support@displayte.com, answered by a person.
12. Warranty disclaimer
EXCEPT AS THESE TERMS EXPRESSLY SAY, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limits on liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER PARTY IS LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DONATIONS OR DATA, HOWEVER CAUSED; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOUR CHURCH PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100).
These limits don’t apply to your church’s obligations to pay, to either party’s indemnity obligations, or to liability that the law doesn’t allow to be limited.
14. Indemnity
Your church will defend us and our members, employees and agents against any claim by a third party arising from Your Content or from its breach of these Terms or the Acceptable Use Policy, and will pay any damages, costs and reasonable legal fees finally awarded or agreed in settlement. We’ll tell your church promptly about any such claim, let it control the defense (though it may not settle a claim that admits fault on our part without our consent), and give it reasonable help at its expense.
15. Disputes and governing law
In short: If something goes wrong, email us first. California law applies.
If your church has a dispute with us, please email support@displayte.com first. We’ll try in good faith to resolve it within 30 days, and so will you. If we can’t, either party may bring a claim.
These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law rules. Any claim that isn’t resolved informally will be heard exclusively in the state and federal courts located in California, and both parties consent to their jurisdiction. Either party may instead bring an individual claim in a small-claims court where it qualifies. Nothing in this section stops either party from seeking urgent relief to protect its intellectual property or the security of the Service.
16. Changes to these terms
We may update these Terms. If a change materially affects your church’s rights, we’ll email your account’s owners and show a notice in the Service at least 30 days before it takes effect, unless the change is required sooner by law. Continuing to use the Service after a change takes effect means your church accepts it; if it doesn’t, it can cancel before then. The date at the top of this page shows when these Terms last changed.
17. General
- Whole agreement. These Terms, with the policies they include, are the whole agreement between your church and us about the Service, and replace any earlier understanding.
- Transfer. Your church may not transfer these Terms without our written consent. We may transfer them to a company that takes over the Service, and we’ll tell your church if we do.
- Events beyond control. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as a natural disaster, war, widespread internet or power failure, or a failure of a provider we depend on, except for obligations to pay.
- Notices. We send notices to the email address of your account’s owners. Your church sends notices to support@displayte.com. A notice is given when it’s sent, unless the sender learns it wasn’t delivered.
- Law and sanctions. Each party will follow the export-control and sanctions laws that apply to it. Your church confirms it isn’t located in, or controlled by anyone in, a country or list that United States sanctions prohibit us from serving.
- Relationship. The parties are independent. Nothing in these Terms makes either an agent, partner or employee of the other.
- If a term fails. If a court finds part of these Terms unenforceable, that part is changed as little as needed to make it enforceable, and the rest stays in effect. Not enforcing a term isn’t a waiver of it.
